Terms of service
These terms of service ("terms") govern your access to and use of the online store operated by Hokkaido Uni Shop ("we", "us", or "our"). By creating an account, placing an order, or otherwise using the store, you agree to these terms. If you do not agree, do not use the store.
Who may use the store
The store is intended for business customers purchasing on behalf of an organization. You must be at least the age of majority in your jurisdiction and authorized to enter into agreements on behalf of the account you represent. We may decline to open, or may close, any account at our discretion.
Your account
You are responsible for the accuracy of the information on your account, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly if you believe your account has been used without your authorization.
Orders
An order you submit through the store is an offer to purchase. It is not accepted until we confirm it. We may decline or cancel an order, in whole or in part, including where an item is unavailable, where the pricing or product information was incorrect, or where we suspect fraud or misuse.
Pricing, weights, and availability
Prices shown to you reflect the price list associated with your account and may change without notice. Product availability is not guaranteed and may vary by location and fulfillment date.
Some items are sold by weight. Where an item is priced by weight, the amount shown at the time of ordering is an estimate based on the quantity you requested, and your final invoice is adjusted to reflect the actual weight supplied.
Payment
You agree to pay all amounts due for orders placed under your account, including any applicable taxes, delivery charges, and fees. Where payment terms have been extended to your account, invoices are due according to those terms. We may suspend fulfillment or access to the store while an account is past due.
Delivery and pickup
Fulfillment dates, delivery windows, and pickup times are estimates and are not guaranteed. Risk of loss passes to you on delivery or, for pickup orders, when the order is collected. You are responsible for inspecting your order on receipt.
Cancellations, changes, and claims
Orders may be changed or cancelled only before the applicable cutoff for the selected fulfillment date. Claims for shortages, damage, or quality issues must be reported to us promptly after receipt so that we can investigate. Perishable goods may not be returnable.
Acceptable use
You agree not to:
- use the store for any unlawful purpose or in violation of these terms;
- interfere with, disrupt, or place undue load on the store or its infrastructure;
- attempt to gain unauthorized access to any account, system, or data;
- scrape, harvest, or resell pricing or catalog data without our written permission; or
- misrepresent your identity or your authority to act for an account.
Content and intellectual property
The store, and the text, images, product data, and software it contains, are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable licence to use the store for the purpose of transacting with us. Any content you submit remains yours, and you grant us the right to use it as needed to operate the store and fulfill your orders.
Third-party services
The store is provided using third-party technology and service providers, including our commerce platform provider, payment processors, and delivery partners. Your use of the store may be subject to their terms in addition to ours. We are not responsible for third-party websites we link to.
Disclaimers
Except as expressly stated in these terms or as required by applicable law, the store is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that the store will be uninterrupted, error-free, or secure, or that catalog, pricing, or availability information is complete or current.
Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business interruption, arising out of or relating to your use of the store. Nothing in these terms limits liability that cannot be limited by law.
Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses arising from your use of the store, your breach of these terms, or your violation of applicable law or the rights of a third party.
Suspension and termination
We may suspend or terminate your access to the store at any time, with or without notice, if you breach these terms or if we discontinue the store. Amounts you owe at the time of termination remain payable.
Changes to these terms
We may update these terms from time to time. The updated version takes effect when posted here, and the date above is revised. Your continued use of the store after an update constitutes acceptance of the revised terms.
Governing law
These terms are governed by the laws applicable in the United States, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the courts located in the United States for any dispute arising from these terms.
